01Acceptance of terms

Welcome to RGY Digital. These Terms and Conditions ("Terms") govern your access to and use of our AI agent platform, CRM, and messaging integrations ("Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

02Description of service

RGY Digital provides a multi-tenant SaaS platform that enables businesses to build, deploy, and manage AI agents. The Service includes:

• Multi-tenant agent management platform with plugin architecture
• Integrations with Facebook Messenger, Instagram Direct, WhatsApp Business API, and the website widget
• LangGraph-based agent orchestration and conversational AI
• Knowledge base management and retrieval-augmented generation (RAG)
• Lead capture, CRM, and outreach tooling
• DriftWatch quality monitoring, analytics, and dashboards
• API access for custom integrations

Your obligations on Meta platforms

• Obtain all necessary permissions and consents from your end-users
• Comply with applicable data protection laws (GDPR, CCPA, and similar)
• Provide accurate information and avoid misleading practices
• Respect user privacy and handle data responsibly
• Do not engage in spam, harassment, or abuse
• Follow platform content policies and community standards
• Maintain business verification where required

Consequences of violations

Violations of Meta policies may result in suspension or termination of your platform access by Meta, suspension or termination of your RGY Digital account, and legal action by Meta or affected parties. You are solely responsible for ensuring your use complies with all platform policies.

04Account and security

Account creation

• Provide accurate, current, and complete information
• Be at least 18 years old or the age of majority in your jurisdiction
• Maintain and update your account information

Account security

• Maintain the confidentiality of your login credentials
• Be responsible for all activity under your account
• Notify us immediately of any unauthorized access

Suspension or termination by us

We may suspend or terminate your account if you violate these Terms or Meta policies, your use poses a security risk, payment obligations are not met, or your account is used for fraudulent or illegal activities.

05Subscription and payment

Subscription plans

The Service is offered on a subscription basis with monthly or annual billing cycles. Different plans include different feature sets and usage limits.

Payment terms

• Payment is due in advance for each billing period
• Payments are processed by Stripe and PayPal
• All fees are non-refundable except as required by law
• You are responsible for all applicable taxes

Automatic renewal and price changes

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We may change pricing with 30 days' notice; price changes take effect at your next renewal.

06Acceptable use

You may use our Service only for lawful business purposes consistent with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit spam, unsolicited messages, or bulk communications
• Engage in fraudulent, deceptive, or misleading practices
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other tenants
• Interfere with or disrupt the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to build a competing product
• Violate Meta platform policies
• Transmit hate speech, harassment, threats, or illegal content
• Impersonate any person or entity

07Intellectual property

Our intellectual property

The Service, including source code, software, content, trademarks, and logos, is owned by RGY Digital and protected by intellectual property laws.

License to use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

Your content

You retain ownership of the content you upload ("Your Content"), including agent configurations, knowledge base documents, and conversation data. You grant us a worldwide, non-exclusive, royalty-free license to store, process, and transmit Your Content to provide the Service, and to use aggregated and anonymized derivatives to improve our internal models.

You represent that you own or have the necessary rights to Your Content and that it does not violate any third-party rights.

Feedback

If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use that feedback without compensation or attribution.

08Data and privacy

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

To the extent you provide personal data of your end-users to our Service, you act as the data controller and we act as the data processor under GDPR and other applicable data protection laws.

09Availability and modifications

We strive to provide reliable Service availability but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to scheduled maintenance, emergency updates, third-party disruptions, or events beyond our reasonable control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. Our Service relies on third-party providers (OpenAI, Anthropic, Meta platforms, hosting providers) and we are not responsible for failures or changes by these third parties.

10Termination

Termination by you

You may terminate your account at any time through your account settings or by contacting support. Termination takes effect at the end of your current billing period; no refunds are provided for partial periods.

Termination by us

We may terminate or suspend your account immediately if you violate these Terms or Meta policies, your use poses a security risk, or we cease providing the Service.

Effects of termination

• Your access to the Service will be disabled
• Your data will be retained for 90 days and then deleted (except as required by law)
• You may request a data export within the 90-day window
• Outstanding fees become immediately due

11Warranties and disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RGY DIGITAL OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD 100), WHICHEVER IS GREATER.

Some jurisdictions do not allow these limitations. In such jurisdictions our liability will be limited to the maximum extent permitted by law.

13Indemnification

You agree to indemnify, defend, and hold harmless RGY Digital, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of:

• Your use of the Service
• Your violation of these Terms or any third-party rights
• Your violation of Meta platform policies
• Your Content or end-users' use of agents you create with our Service

14Dispute resolution

Before filing a claim, you agree to contact us to attempt informal resolution. We will work in good faith to resolve disputes amicably. If informal resolution fails, disputes will be resolved through binding arbitration, except where prohibited by law.

Any dispute resolution proceedings will be conducted on an individual basis, not as a class or representative action.

15General provisions

Entire agreement

These Terms, together with our Privacy Policy and any service-specific addenda, constitute the entire agreement between you and us regarding your use of the Service.

Amendments

We may modify these Terms at any time and will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

Severability and waiver

If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

Force majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control.

Language

These Terms are provided in English. Any translation is for convenience only. In case of conflict, the English version prevails.
